Position: Paralegal Analyst-Contracts and Litigation
Reports To: Senior Manager Paralegal
Location: Winston-Salem, NC

Position Summary:

The Paralegal Analyst-Corporate Records functions as a valued member of the legal team, with a primary focus on processing to execution TCH contracts and agreements, management of TCH legacy contracts and agreements, and assistance with responses to requests for production of documents related to regulatory and litigation matters with cross-training to include processing and responding to law enforcement and private litigation third-party subpoenas/summonses, assisting in the management and retention of essential corporate and historical records for the Clearing House Payments Company L.L.C., and providing support to senior members of the legal team in connection with legal services provided to all business lines and units of the company.

Qualifications Required:

  • Bachelor’s degree required
  • Paralegal certification required, but will consider comparable experience in lieu of certification
    • Comparable experience includes at least 4 years of progressively greater scope of responsibilities or level of decision-making in a law firm or corporate legal department
  • Experience with review and analysis of contracts and agreements
  • Strong attention to detail
  • Ability to collaborate and interact professionally with other staff members and external parties
  • Ability to work independently and make necessary and appropriate decisions within appropriate ethical and legal parameters
  • Proficiency at the intermediate level in Microsoft Office Suite, including Word, Excel, and Outlook calendaring
  • Ability to effectively organize and present information orally and in written form
  • Excellent proofreading, writing and editing skills

Qualifications Desired:

  • Experience as a paralegal focused on document management related to litigation and regulatory matters in a large corporate legal department or in a law firm
  • Strong mastery of large corporate document management and production issues
  • Good project management skills, including establishment of project requirements and scope, developing time frames and deliverables, and managing a project to completion

Essential Functions and Responsibilities:

  • Process to execution TCH contracts and agreements; attention to TCH legacy contracts and agreements; and assist with responses to requests for production of documents related to regulatory and litigation matters
  • Initial review of incoming contracts and agreements with attention to new vendors/customers and needed profile information, including designation of proper legal entity, and correct legal notice requirements
  • Review related historical information for vendors/customers, their relationship with TCH, and historical contracts/agreements
  • Vet contracts/agreements to determine appropriate review and approval flow, needed e-signature information, analysis against historical contracts, review and determination of needed provisions for compliance with TCH requirements, provision of additional or revised data to vendors/customers for inclusion and their review prior to full in-house legal review, call-out of areas for specific review by TCH attorneys, and identification of any other contract issues identified by the paralegal
  • Process contracts/agreements through final execution and publication with appropriate distribution
  • Maintenance of TCH’s contract management platform Ariba
  • In conjunction with new contracts/agreements and renewals, management of TCH legacy contracts/agreements into Ariba
  • Assist legal staff in responding to outside requests for information, including the large scale organization and production of documents in response to regulatory requests for information and litigation discovery, including but not limited to review and redact specific information from the production of documents upon request and in accordance with legal guidelines related to regulatory requests and litigation

Additional functions and responsibilities – Secondary focus: 

  • Prepare and produce monthly/quarterly/periodic board and committee materials to regulators
  • Assist with the organization, retention, and purging of all essential corporate records, including education and socialization of policy and procedure with TCH employees
  • Handling of law enforcement and private litigation third-party subpoenas/summonses
  • Conduct research in support of legal team, as required
  • Work on other projects as assigned

Physical Demands and Work Environment:

Work is generally sedentary in nature, but may require standing and walking. The working environment is generally favorable. Lighting and temperature are adequate, and there are no hazardous or unpleasant conditions caused by noise, dust, etc. Work is generally performed within an office environment, with standard office equipment available.
